Terms of Service
These terms are the agreement between Hauer Studios Inc. (“Cadence”, “we”, “us”), which makes Cadence, and the business that creates a Cadence account (“you”). By creating an account, going live or using Cadence, you agree to them on behalf of your business. If you don’t agree, please don’t use Cadence.
1. Your account
- You must be at least 18 and allowed to act for the business you sign up.
- Give us accurate details and keep them up to date.
- You sign in with codes we send to your email, so keep that email account secure. You’re responsible for what happens in your account.
- Each location needs its own plan.
2. What Cadence is
Cadence lets you design and publish your own branded app for your clients, invite them to join it, and send them offers, reminders and rewards. What’s included is described on our website and in your dashboard. We improve Cadence all the time, so features can change, be added or be removed. Features marked as new may not yet work perfectly.
We may build a version of your app from your public website and send you a link to it, before or after you sign up.
3. Free to build, paid to go live
- Building your app is free, with no card and no time limit.
- To make your app live for your clients, you start a plan: $199 USD a month for each location, billed through Stripe.
- Your first plan includes 14 days free from the day you go live. If you cancel before they end, you aren’t charged. After that you’re charged $199 on day 15 and then every month, in advance, until you cancel.
- Prices don’t include taxes. If we have to collect sales tax, we’ll add it to your bill.
- We’ll give you at least 30 days’ notice by email before your price changes. The new price applies from your first billing date after that.
- If a payment fails, Stripe tries again over the following weeks. If it can’t be collected, your plan ends and your app is paused for your clients until you start a plan again.

4. Cancelling
- Cancel any time in your dashboard, under Settings, Plan and billing, Manage billing. Your plan stops at the end of the month you’ve paid for, your app stays live until then, and you won’t be charged again.
- When your plan ends, your app is paused for your clients. Starting a plan again brings it back. A second plan doesn’t include free days.
- We keep your account and your data for 90 days after your plan ends, so you can come back or ask for a copy. After that we delete them, except what we must keep by law, such as billing records.
5. Your content and your clients
You own what you bring to Cadence: your name, logo, photos, services, prices and offers, and the information about your clients (together, “your content”). You give us permission to host, copy, display and process your content only to run Cadence for you, including showing it in your app and on your clients’ Wallet cards. You confirm you have the right to use everything you add, including photos and logos.
Your clients’ information is yours, and we handle it on your behalf, as our Privacy policy explains. You’re responsible for:
- telling your clients how you use their information, for example in your own privacy policy;
- having their consent where the law requires it, including for promotional messages under Canada’s Anti-Spam Legislation (CASL) and any similar law where your clients are;
- following the rules of your profession and your regulator, including any health privacy law that applies to you (such as Ontario’s Personal Health Information Protection Act) and any limits your college puts on discounts, rewards, referral incentives or advertising.
Don’t put health records in Cadence. It isn’t built to hold clinical notes, diagnoses, treatment plans, health histories, insurance details, government ID numbers or payment card numbers, and you must not add them.
6. Messages to your clients
You decide what your app sends and to whom. Promotional messages only go to clients who agreed to receive them when they joined, and you must not try to send them to anyone else. Your messages must be truthful and lawful, and identify your business. We may stop or delay a message that looks unlawful, harmful or likely to be reported as spam.
7. Acceptable use
Don’t use Cadence for anything illegal, misleading or harmful; send spam; pretend to be someone else; upload malware; try to get into accounts or systems that aren’t yours, test Cadence’s security or overload it; copy, resell or reverse engineer Cadence; or use it to build a competing product. We may suspend an account that does any of this, or that puts Cadence, our other customers or anyone’s clients at risk.
8. Our part
Cadence’s software, templates, designs, Wallet card designs and brand belong to us. While your plan runs, you may use them for your business through Cadence. If you send us ideas or feedback, we may use them without owing you anything.
We work to keep Cadence running and secure, but we can’t promise it will always be available or free of errors. We sometimes need to take it down for maintenance, and give notice when we can.
9. No guaranteed results
Cadence is a tool to help you bring clients back. We don’t promise any particular number of bookings, members or sales. Figures on our website, like the clients and sales in our demo apps, are examples.
10. Limits on our liability
To the fullest extent the law allows:
- Cadence is provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose;
- we aren’t liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, clients or data;
- our total liability for any claim about Cadence is limited to what you paid us in the 12 months before the claim.
Some laws don’t allow these limits, so they apply only as far as the law permits.
11. Your responsibility to us
If someone makes a claim against us because of your content, the messages you send, how you collect or use your clients’ information, or your breaking these terms or the law, you’ll cover our reasonable costs and losses from that claim.
12. Ending this agreement
You can end it by cancelling your plan and asking us to close your account. We can suspend or close your account if you break these terms or don’t pay. If we stop offering Cadence, we’ll give you at least 30 days’ notice and refund any time you’ve paid for and can’t use. Sections 5 and 9 to 14 continue after this agreement ends.
13. Changes to these terms
We may update these terms. If a change matters, we’ll tell you by email or in your dashboard at least 30 days before it applies. Using Cadence after that means you accept the new terms.
14. Law and disputes
These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Any dispute about them goes to the courts of Ontario.
