Partner Agreement
This agreement is between Hauer Studios Inc. (“Cadence”, “we”) and you, a partner who introduces businesses to Cadence. You accept it when we approve your application, and it covers every business you introduce while it’s in place.
1. What you do
You introduce businesses you already know to Cadence, by sharing your partner link or by telling us a business’s name before it signs up. You don’t need to sell, set up or support Cadence: we do that.
You’re an independent partner, not our employee, agent or partner in law. You can’t make promises, offer terms or sign anything on our behalf.
2. Which businesses count
- A business that signs up within 90 days of opening your link, or within 90 days of you telling us its name.
- Each location counts on its own.
- If two partners introduce the same business, it counts for the one we heard from first.
- A business doesn’t count if it already had a Cadence account, was already talking to us in the 90 days before your introduction, or is one you own, run or work at.
3. What we pay
For each location you introduce, we pay you $50 USD for every month it pays for Cadence, for as long as it stays a customer.
- Nothing is paid until the location has paid for its second month. Then we pay $100 USD for its first two months together, and $50 USD for each month it pays after that.
- A month that isn’t paid, is refunded or credited, or is free (including early access before a plan starts) doesn’t count.
- Each location keeps the rate in effect when it signed up, for as long as it stays a customer.
- If we pay for a month that turns out not to count, we can take it off your next payment.
4. How and when we pay
On the 1st of each month (or the next business day), for what businesses paid in the month before, by Interac e-Transfer, Wise or another way we agree. With each payment you get a statement of the locations it covers. Tell us within 60 days if something looks wrong.
Amounts are in US dollars. Partners in Canada can be paid the same amount in Canadian dollars, at the exchange rate on the day we pay.
You’re responsible for your own taxes. Before your first payment we’ll ask for your legal name, your address and the details we need to report payments to tax authorities. If you’re registered for GST/HST or another sales tax, send us an invoice that includes it.
5. How you introduce businesses
- Only contact people you know or work with, and follow Canada’s anti-spam law (CASL) and the laws where you work. No bulk email, cold messages, bought lists or spam.
- Tell each business that Cadence pays you for introducing them.
- Describe Cadence as it is today: what it does, and its price ($199 USD a month per location once a business goes live; building is free). Don’t promise features, results, discounts or terms we haven’t given you in writing.
- Don’t present yourself as Cadence, use names or web addresses that look like ours, or bid on our name in search ads.
- Follow your employer’s and your profession’s rules about outside work and referral payments. If they don’t allow this, don’t join.
6. The businesses you introduce
Businesses you introduce get their app set up for them by our team, free. We decide whether to accept a business, and every business signs up on our usual Terms of Service.
Their account, and their clients’ information, are between them and Cadence. We tell you whether each business you introduced has signed up, gone live and paid, and nothing else about it.
7. Our name
You can use the Cadence name, your partner link and the materials we give you, as we give them, to introduce businesses. Ask us before you change them or make your own ads with our name.
8. Changes and ending
- We can change this agreement, or the rate for businesses you introduce from then on, by telling you by email at least 30 days ahead. Locations you’ve already introduced keep their rate.
- Either of us can end this agreement at any time by email. We keep paying for the locations you introduced before it ended, for as long as they stay customers.
- If we end it because you broke section 5, payments stop when it ends.
9. The rest
This agreement is governed by the laws of Ontario and the federal laws of Canada that apply there. Our total responsibility to you under it is limited to the payments it says we owe you.
